1. Agreement to Terms
These Terms of Service ("Terms") are a legally binding agreement between you and Food Rider Delivery, Inc. ("Food Rider Delivery," "we," or "us") governing your use of our website, mobile apps, and delivery partnership services (the "Service"). By using our Service, you agree to these Terms. If you do not agree, do not use the Service.
2. What We Do
Food Rider Delivery connects restaurants with delivery drivers through an AI-powered dispatch system. We provide technology integration, driver management, and delivery logistics to help restaurants reduce delivery costs and improve customer satisfaction.
3. Eligibility
To use our Service, you must be at least 18 years old, authorized to represent the restaurant you act on behalf of, and legally able to enter into binding contracts.
4. Account Security
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Please provide accurate information at registration and keep it up to date.
5. Acceptable Use
You agree to use the Service only for lawful purposes. You may not:
- Violate any applicable laws or regulations
- Upload harmful, offensive, or inappropriate content
- Interfere with or disrupt the Service or its infrastructure
- Attempt unauthorized access to any part of the Service
- Use the Service to compete with Food Rider Delivery
6. Restaurant Partner Responsibilities
As a restaurant partner, you are responsible for:
- Maintaining all required licenses and permits
- Food quality, safety, and compliance with health regulations
- Providing accurate menu information and pricing
- Preparing orders in a timely manner
7. Fees and Payment
Our fee structure is outlined in your individual service agreement and may include a flat fee per delivery order and fees for premium services. We reserve the right to update fees with appropriate advance notice.
8. Intellectual Property
All content, features, and functionality of the Service are the exclusive property of Food Rider Delivery and are protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
9. Privacy and Marketing Consent
By providing your contact information through our website, you consent to receive marketing communications from us, including emails, calls, texts, and direct mail. You may opt out at any time as described in our Privacy Policy. You also consent to our use of your information for lead generation, sales, and business development purposes. Our advertising and marketing practices comply with applicable laws including the CAN-SPAM Act and TCPA.
10. Savings Calculator Disclaimer
Any savings estimates or projections — whether from our website calculator, sales calls, emails, or meetings — are for illustrative purposes only and do not guarantee actual results. Actual savings will vary based on order volume, customer distance, platform fee structures, market conditions, and many other factors. Testimonials reflect reductions in third-party commission fees only and do not account for Food Rider Delivery's flat service fee per order. Do not rely solely on these projections when making business decisions. Food Rider Delivery is not liable for differences between projected and actual savings.
11. Performance Guarantee
Our $10,000 performance guarantee applies only to restaurants that meet all of the following criteria:
- Not currently using Food Rider Delivery or any similar commission-reduction service
- Not operating self-delivery services
- Currently paying 30% or higher in third-party delivery commissions
- Processing 300+ delivery orders per month on a single eligible platform
- Fully compliant with all implementation guidelines
- Independent restaurants only — no franchises, chains, or ghost kitchens
Claims must be submitted in writing within 90 days of full implementation with supporting documentation. The guarantee covers commission fee reductions only and does not include Food Rider Delivery's service fees. We reserve the right to modify or discontinue this guarantee at any time.
12. Delivery Disclaimers
Food Rider Delivery is not responsible for delivery issues of any kind, including driver no-shows, late or failed deliveries, lost or damaged orders, driver conduct, or technical failures. Restaurants and customers use delivery services at their own risk.
13. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose, to the fullest extent permitted by law.
14. Limitation of Liability
Food Rider Delivery shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of the Service.
15. Indemnification
You agree to defend, indemnify, and hold harmless Food Rider Delivery and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.
16. Termination
We may suspend or terminate your account at any time, without notice, for any reason including breach of these Terms.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Washington. Any disputes arising from these Terms shall be resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, conducted in Washington.
18. General
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect. These Terms constitute the entire agreement between you and Food Rider Delivery regarding the Service. We may update these Terms at any time and will provide at least 30 days' notice of material changes.
